<p>The acquisition of T-Mobile would make AT&amp;T the largest carrier in the U.S. The company (AT&amp;T)  says the merger is necessary to accommodate the heavy data demands of its subscribers, and will also create jobs and bring coverage to rural areas. However, while AT&amp;T might claim to have more states <a href="http://www.cellphonesignal.com/facebook-microsoft-yahoo-want-att-t-mobile-merge/">supporting</a> it, most of the highly populated US states such as California, Illinois, Massachusetts, New York and Pennsylvania are against the deal. The large numbers of consumers in those states are likely to hold some sway with the DoJ.</p>
<p>T-Mobie also released a new statement assuring that the deal will pass and the new T-Mobile will be part of AT&amp;T.</p>
<p>If regulators reject <a href="http://www.cellphonesignal.com/omg-att-agrees-to-buy-t-mobile-usa-for-us-39-billion/">the deal,</a> AT&amp;T must pay $3 billion to T-Mobile owner Deutsche Telekom as part of its pre-nup agreement with the wireless network. The carrier must also give T-Mobile free spectrum in some regions and reduce charges for T-Mobile customers who make calls to AT&amp;T subscribers<span id="more-7033"></span></p>

<p><strong>Sprint Files Suit to Block Proposed AT&amp;T and T-Mobile Transaction</strong></p>
<p>WASHINGTON (BUSINESS WIRE), September 06, 2011 – Sprint Nextel [NYSE:S] today brought suit against AT&amp;T, Inc., AT&amp;T Mobility, Deutsche Telekom and T-Mobile seeking to block the proposed acquisition as a violation of Section 7 of the Clayton Act. The lawsuit was filed in federal court in the District of Columbia as a related case to the Department of Justice’s (DOJ) suit against the proposed acquisition.</p>
<p>“Sprint opposes AT&amp;T’s proposed takeover of T-Mobile,” said Susan Z. Haller, vice president-Litigation, Sprint. “With today’s legal action, we are continuing that advocacy on behalf of consumers and competition, and expect to contribute our expertise and resources in proving that the proposed transaction is illegal.”</p>
<p>Sprint’s lawsuit focuses on the competitive and consumer harms which would result from a takeover of T-Mobile by AT&amp;T. The proposed takeover would:</p>
<ul>
<li>Harm retail consumers and corporate customers by causing higher prices and less innovation.</li>
<li>Entrench the duopoly control of AT&amp;T and Verizon, the two “Ma Bell” descendants, of the almost one-quarter of a trillion dollar<strong> </strong>wireless market. As a result of the transaction, AT&amp;T and Verizon would control more than three-quarters of that market and 90 percent of the profits.</li>

<p>&#8220;This transaction is very instrumental,&#8221;  Stephenson said. &#8220;Virtually on  the day you close the deal, getting a 30 percent lift in capacity in  New York City: that’s a significant improvement in call quality and data  throughput.”</p>
<p>“This is an intensely competitive industry,” he said. “It is intense  before we do this transaction, it will be intense after we do this  transaction.”</p>
<p>AT&amp;T <a href="http://www.cellphonesignal.com/omg-att-agrees-to-buy-t-mobile-usa-for-us-39-billion/">said on March 20</a> it had agreed to buy T-Mobile USA from  Deutsche Telekom AG, in a deal that would combine the second- and  fourth-largest U.S. wireless operators to create the country’s largest.  The acquisition, which would leave three major national wireless players  including Verizon Wireless and Sprint Nextel Corp., is subject to  regulatory approval.</p>
<p>Sprint, the third-largest U.S. wireless provider, said March 28 it would  seek to have the deal blocked by U.S. agencies. The transaction is anti-competitive and would result in an industry dominated by two  carriers, the company said.</p>

<p>AT&amp;T will create the largest Wireless carrier in the USA after merging with T-Mobile USA &#8230;.if regulators approve this deal. AT&amp;T will have 130 million customers after the regulatory approval. The current leading wireless carrier, Verizon Wireless, has anywhere from 94 to 102 million</p>
<p>Even if regulators don’t buy its arguments, AT&amp;T may walk away with a  concession prize. If the deal gets squelched, the carrier will pay  T-Mobile a $3 billion break-up fee. That’s not a huge amount for a  company with a $165 billion market capital.</p>
<p><strong>Good sources indicate that Deutsche Telekom is looking other horizons to make business. Looking more South West. Yes South America. Sources indicate that Deutsche Telekom is already evaluating enter to Colombia, Peru or Chile.</strong></p>

<p>Deutsche  Telekom will take an approximately 8 percent stake in US  telecommunication company AT&amp;T. At the same time Deutsche Telekom  will hand over 100 percent ownership of T-Mobile USA to AT&amp;T. This  has been agreed by the boards of the two companies today. AT&amp;T will  pay 25 billion USD in cash for T-Mobile USA, in addition to 14 billion  USD in AT&amp;T shares. AT&amp;T has the right to increase the portion  of the purchase price paid in cash by up to 4.2 billion USD with a  corresponding reduction in the stock component. The value of the  transaction will be 39 billion USD. This will amount to an attractive  multiple of approximately 7 times 2010 adjusted EBITDA. The merger still  needs US regulatory approval. The closing of the transaction is  expected to be completed in first half of 2012.</p>

<p>Deutsche Telekom is  planning to reduce its debt by approximately 13 billion EUR.  Approximately 5 billion EUR are planned to be used for share buybacks  after closing and required resolutions in accordance with the legal  requirements .</p>

<p>For Deutsche Telekom the  transaction after closure will provide amongst others a consolidation of  the balance sheet. Pro forma the ratio for net debt to adjusted EBITDA  in 2010 will be reduced to 1.9x from 2.2x, a reduction of 31 percent.</p>

<p>There  will be no change regarding the shareholder remuneration policy which  has been set for three years. As has been provided within the legal  guidelines, Deutsche Telekom will continue with its plans to pay out 3.4  billion EUR on an annual basis consisting of a minimum dividend of 70  cents plus share-buybacks. The share buybacks amounting to approximately  5 billion EUR, which are planned after the closure of the transaction,  will come on top of this.</p>

<p>The Guidance for 2011 remains  unchanged. For the financial year 2011 Deutsche Telekom expects an  adjusted EBITDA of around 19.1 billion EUR. The free cash flow is  expected to be stable to slightly growing from the 2010 level of 6.5  billion EUR.</p>

<p>Anyway, the next generation iPad with its CDMA and GSM will be  capable of running off the 3G networks of T-Mobile, AT&amp;T, Verizon, and Sprint, here within the United States.</p>
